Terms of Service

1. Agreement to Terms

By accessing or using the services provided by AI Labs Talent (“Company,” “we,” “our,” or “us”), including our website at https://ailabstalent.com and any related services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

AI Labs Talent provides staffing and talent placement services, connecting businesses with pre-vetted AI-native software developers. Our services include:

• Managed Model: Full-service engagement including engineer and project management
• Placement Model: One-time fee for finding and vetting candidates for direct hire
• Connected Model: Direct engagement with senior developers without PM overhead

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

4. Engagement Terms

4.1 Trial Period

All engagement models include a 2-week risk-free trial period. During this period, you may request a full refund or replacement engineer if not satisfied with the engagement for any reason.

4.2 Deposits

A 35% deposit of the first month's estimated fees is required to begin an engagement. This deposit is credited to your first invoice.

4.3 Billing

For ongoing engagements, billing is typically monthly or biweekly, depending on engagement size. Payment is due within the terms specified in your invoice (typically Net 15 or Net 30).

4.4 Termination

Either party may terminate an ongoing engagement with 2 weeks written notice. No penalties apply for termination after the trial period.

5. Intellectual Property

5.1 Work Product

All work product, code, designs, and deliverables created by our engineers during your engagement belong to you. Full intellectual property rights are assigned to you upon payment.

5.2 Pre-existing IP

Any pre-existing intellectual property, tools, or frameworks owned by the Company or engineer remain the property of their respective owners. You are granted a license to use any such materials incorporated into your work product.

6. Confidentiality

We maintain strict confidentiality regarding your business information. A standard NDA is included in every engagement. Key confidentiality provisions include:

• Your project details and business information are kept confidential
• Engineers sign individual NDAs before starting work
• Source code and proprietary information are never shared with third parties
• Confidentiality obligations survive termination of the engagement

7. Placement Model Terms

For the Placement model ($5,500 one-time fee), the following terms apply:

• A 24-month non-circumvention clause applies
• You agree to hire the engineer through AI Labs Talent, not directly or through other agencies
• If the engineer doesn't work out during the trial period, we provide a replacement at no additional cost
• Ongoing free training through AI Labs is included for placed engineers

8. Replacement Guarantee

If an engineer leaves the engagement unexpectedly or doesn't meet quality standards after the trial period, we will provide a replacement engineer at no additional placement cost. We strive to make replacements within one week.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the fees paid for the services giving rise to the claim
• We are not liable for any indirect, incidental, special, or consequential damages
• We are not responsible for delays caused by client-side dependencies or third-party services
• We do not guarantee specific business outcomes from the use of our services

10. Indemnification

You agree to indemnify and hold harmless AI Labs Talent, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.

11. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved as follows:

• First, through good-faith negotiation between the parties
• If negotiation fails, through binding arbitration
• The governing law shall be the laws of England and Wales

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated “Last updated” date. Continued use of our services after changes constitutes acceptance of the new terms. Material changes will be communicated to active clients via email.

13. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms of Service, together with any applicable engagement letter or statement of work, constitute the entire agreement between you and AI Labs Talent regarding the use of our services.
